1. RESPECT FOR HUMAN RIGHTS

The Contractor shall not violate, and shall guarantee that none of its subcontractors violates, the fundamental human rights set out in the 1950 European Convention on Human Rights, including all protocols thereto, the Ten Principles of the UN Global Compact, and other applicable human rights laws and principles.

2. CONFLICT OF INTEREST

Amicum must be notified immediately of any conflict of interest on the part of the Contractor. The Contractor confirms that it has no current or prior business, professional, personal or other interests, including, in particular, the representation of other clients, that would in any way or to any degree conflict with the performance of its obligations under the Contract. If any such actual or potential conflict of interest arises under the Contract, the Contractor shall promptly notify Amicum of the conflict in writing.

3. ANTI-CORRUPTION, ANTI-FRAUD POLICY

The Contractor represents and warrants that it is not engaged, and will not engage, in any corrupt activity, defined as the abuse of entrusted authority.

4. LABOR LAW AND WORKING CONDITIONS

4.1. The Contractor shall not violate, and shall guarantee that none of its subcontractors violates, fundamental international labour laws, including, in particular, the 1981 Occupational Safety and Health Convention, including its 2002 Protocol, and the 1970 Minimum Wage Fixing Convention, among other conventions.

4.2. The Contractor shall not violate, and shall guarantee that none of its subcontractors violates, any applicable national labour laws.

4.3. The Contractor guarantees that it and its subcontractors will protect workers from any acts of physical, verbal, sexual or psychological violence or threats in the workplace.

5. ANTI-DISCRIMINATION IN WORKING CONDITIONS

5.1. The Contractor represents and warrants that neither it nor any of its subcontractors discriminates against any of its employees on the basis of race, colour, sex, language, political or other opinion, caste, national or social origin, property, birth, trade union affiliation, sexual orientation, health status, age, disability, or any other distinguishing characteristic.

5.2. The Contractor represents and warrants that it and any of its subcontractors will base all employment-related decisions, from hiring through to termination and retirement, solely on relevant and objective criteria.

6. MISCONDUCT

The Contractor represents and warrants that neither it nor any of its subcontractors engages in any unlawful activity.

7. COUNTER-TERRORISM SCREENING

The Contractor is prohibited from entering into transactions with, or providing resources to, individuals or entities associated with terrorism or subject to government sanctions, including those listed on one or more of the lists referenced below. This requirement does not extend to the screening of beneficiaries.

8. CHILD LABOUR

The Contractor represents and warrants that neither it nor any of its subcontractors will engage in any practice inconsistent with the rights set out in the UN Convention on the Rights of the Child, including Article 32, which requires, among other things, that children be protected from performing any work that is likely to be hazardous, to interfere with the child's education, or to be harmful to the child's health or physical, mental, spiritual, moral or social development.

9. LANDMINES AND WEAPONS

The Contractor represents and warrants that neither it, nor any of its parent organisations (if any), nor any of its subsidiaries, affiliates or subcontractors (if any):

9.1. is engaged in the sale or manufacture of anti-personnel mines or components primarily used in the manufacture of anti-personnel mines; or

9.2. is actively and directly engaged in patenting, developing, assembling, producing, stockpiling, trading in, or manufacturing conventional, chemical, biological, nuclear or other weapons.

10. SEXUAL EXPLOITATION AND VIOLENCE

10.1. For the purposes of these General Conditions of Contract, "sexual exploitation" means any actual or attempted abuse of a position of vulnerability, differential power or trust for sexual purposes, including, but not limited to, obtaining monetary, social or political advantage from the sexual exploitation of another. Similarly, "sexual abuse" means actual or threatened physical intrusion of a sexual nature, whether by force or under unequal or coercive conditions.

10.2. The Contractor shall take all appropriate measures to prevent sexual exploitation or abuse of any person by its employees or by any other persons engaged and controlled by the Contractor to deliver services under the Contract.

10.3. For these purposes, sexual activity with any person under the age of eighteen, regardless of any laws on consent, shall be considered sexual exploitation and abuse of that person. In addition, the Contractor shall refrain from exchanging any money, goods, services or other items of value for sexual favours or acts, and from engaging in any sexual conduct that is exploitative or degrading to any person.

11. EXPLOITATION OF REFUGEES AND OTHER PERSONS UNDER THE CARE OF AMICUM

11.1. The Contractor guarantees that it has instructed its personnel to refrain from any conduct that could adversely affect Amicum, and from any activity inconsistent with Amicum's purpose and objectives, or with Amicum's mandate to protect refugees and other persons of concern to Amicum.

11.2. The Contractor undertakes to take all possible measures to prevent exploitation and abuse of refugees and other persons of concern to Amicum by its personnel.

12. HUMAN TRAFFICKING AND MODERN SLAVERY

The Contractor shall comply with all applicable laws, statutes, regulations and conventions on human trafficking and anti-slavery, and guarantees that it has instructed its personnel, employees, staff and any subcontractors to refrain from engaging in human trafficking and/or forced labour.

13. CARING FOR THE ENVIRONMENT

13.1. The Contractor shall, at a minimum, provide all services under the Contract in an environmentally sound and controlled manner. Accordingly, the Contractor shall comply with all applicable laws, regulations and other legal requirements relating to the environmental impact of its activities, and shall obtain all necessary environmental permits, licences, information registrations and restrictions.

13.2. The Contractor agrees to establish and maintain appropriate procedures.

13.3. The Contractor agrees to assess and reduce the environmental impact of its own products and services across their full life cycle.

13.4. The Contractor agrees to take measures to improve efficiency and reduce resource consumption.

13.5. The Contractor agrees to reuse or recycle waste wherever environmentally sound and technically feasible.

13.6. The Contractor agrees to maintain a water management plan to reduce water consumption and wastewater discharge, and to increase recycling, if located in a high water-stress area as defined by the World Resources Institute.

14. TRANSPARENCY AND ACCOUNTABILITY

14.1. The Contractor undertakes to fully disclose, at any time and at Amicum's sole discretion, any relevant materials Amicum requires to investigate a possible breach of this Supplier Code of Conduct.

14.2. Any breach of the representations and warranties set out in this Supplier Code of Conduct entitles Amicum to terminate any contractual relationship with the Contractor immediately upon notice to the Contractor, at no cost to Amicum.
